Purchase and Sales agreement

What is a Purchase/Sales agreement?
With a purchase/sales agreement the holder of an IP right (seller) transfers the relevant right to another business or person (buyer).

With the transfer, the seller loses any right of disposal over the relevant invention, in other words, all rights are transferred to the buyer.

Among other things, the buyer acquires the right to decide whether the right should be relinquished and on its subsequent reassignment, as well as the right to ban third parties from carrying out actions which infringe the exclusive right to the invention.
